The Supreme Court of the Russian Federation has ruled that a company can be liable for illegal remuneration paid by a third party with whom it has no formal legal relationship, if its officers either knew about or approved or ordered the third party‘s actions, and if the company has an ‘economic or other material interest’ in the third party’s conduct.
